Referral Program Terms

The E7 Referral Program (the “Program”) rewards individuals and organizations that introduce prospective clients to E7 Solutions, LLC (“E7”). When E7 accepts a referral and the introduction results in qualifying revenue, E7 will pay the individual or organization making the referral (“Referrer”) in accordance with these terms.

E7 will accept or reject each referral in writing. If E7 accepts a referral, these terms will apply once the Referrer confirms acceptance in writing.

 

The date of the Referrer’s written acceptance is the “Referral Effective Date.” No separate signature is required.

1. Accepted Referral

E7’s written acceptance will identify the organization being referred (the “Referred Client”).

2. Referral Period

The accepted referral will remain registered to the Referrer for six months following the date E7 accepts it (the “Acceptance Date”).

E7 may extend the referral period in writing.

If E7 and the Referred Client have not entered into a signed Statement of Work, Software Order Form or other customer agreement during the referral period, the referral expires and no referral fees will be payable.


The date of the first signed Statement of Work, Software Order Form or other customer agreement with the Referred Client is the “Fee Start Date.”

3. Services Referral Fees

Year One: E7 will pay the Referrer 5% of Eligible Services Revenue collected during the first 12 months following the Fee Start Date.

Year Two Success Bonus: E7 will pay the Referrer 2.5% of Eligible Services Revenue collected during months 13 through 24 following the Fee Start Date. The total Year Two Success Bonus will not exceed the total services referral fees paid for the Referred Client during Year One. No services referral fees will be payable after month 24.

4. Software Referral Fees

E7 will pay the Referrer 10% of E7’s Software Gross Profit on qualifying software sales during the first 12 months following the Fee Start Date.

No referral fee will be payable on software sales, renewals or Software Gross Profit during Year Two or afterward.

5. Calculating Referral Fees

Eligible Services Revenue means services revenue E7 actually collects from the Referred Client, including revenue from consulting, implementation, advisory services, managed services, training and support.

Eligible Services Revenue excludes:

  • Taxes
  • Refunds and credits
  • Uncollected amounts
  • Reimbursed travel and expenses
  • Third-party costs passed through to the Referred Client without meaningful E7 margin

Software Gross Profit means the amount E7 actually collects from the Referred Client for qualifying software, subscriptions or licenses, minus E7’s direct cost of purchasing those products.

Referral fees are earned only on amounts E7 actually collects from the Referred Client.

6. Payment

E7 will pay earned referral fees quarterly, within 30 days after the end of each calendar quarter.

Referral fees are payable only after E7 receives the corresponding payment from the Referred Client.

Referral fees are paid in USD. Payment is conditioned on E7 receiving any tax documentation and payment details it reasonably requires. The Referrer bears any transfer or currency conversion costs.

If E7 later refunds or credits an amount on which a referral fee was paid, the corresponding adjustment may be applied to future referral fees.

7. Referrer’s Role

Following E7’s acceptance of the referral, the Referrer’s role is limited to making a genuine introduction to an appropriate contact at the Referred Client.


The Referrer will make the introduction within 10 business days after the Acceptance Date. If the introduction is not made within that period, E7 may cancel the accepted referral.

E7 controls all decisions concerning qualification, pricing, proposals, contracting, delivery and whether to pursue or continue the opportunity.

E7 does not guarantee that an accepted referral will result in a sale.

8. Eligibility

The Referrer confirms that making the referral and accepting any resulting referral fees does not violate any obligation the Referrer has to an employer, client or other organization.

Who is not eligible. Unless E7 agrees otherwise in writing, the following are not eligible to participate in the Program:

  • E7 employees and contractors, and their immediate family members
  • Anyone employed by or representing the Referred Client, including anyone in a position to influence or approve the purchase
  • Government employees and public officials, and anyone for whom a contingent referral fee is restricted by law, regulation or organizational policy
  • Anyone receiving compensation from the Referred Client in connection with the same opportunity

If E7 learns that a Referrer was not eligible, E7 may terminate the accepted referral and withhold any unpaid referral fees.

9. Confidentiality

E7 and the Referrer will each protect non-public information received from the other in connection with the referral.

The Referrer will keep E7 pricing and other non-public E7 information confidential. E7 will protect non-public information provided by the Referrer.

These obligations do not apply to information that is publicly available, was already lawfully known or was lawfully received from another source.

10. Independent Relationship

E7 and the Referrer are independent contractors.

The Program does not create an employment, agency, partnership, joint venture, exclusive relationship or authority for either party to bind the other.

11. Updates to the Program

E7 may update the Program by publishing revised terms with a new effective date.

Updated terms will apply only to referrals accepted after the effective date of the revised terms.

An accepted referral will remain governed by the version of the Program identified or linked in E7’s referral-acceptance communication.

12. Governing Law

The Program is governed by Michigan law.

E7 and the Referrer will first attempt in good faith to resolve any disagreement through direct discussion.

Any legal action that cannot be resolved informally must be brought in the state or federal courts located in Oakland County, Michigan.

13. Complete Terms

The Program, E7’s written acceptance of the referral, and the Referrer’s written acceptance of these terms represent the complete terms between E7 and the Referrer concerning the accepted referral.

Changes affecting an accepted referral must be agreed to in writing by E7 and the Referrer.
